These Terms and Conditions (“Terms”) govern your access to and use of the Banante website (www.banante.com) and the services offered by Banante (“we”, “us”, or “our”). By accessing or using our site or services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

Banante provides two primary service verticals:

• Competitive Intelligence (CI): Market research, competitor analysis, mystery shopping, business intelligence, industry reports, and strategic advisory services.
• Networking & Licensing (N&L): IT infrastructure design and deployment, cybersecurity (as an authorised Sophos partner), cloud computing, software licensing (Microsoft 365, Google Workspace, ZOHO), and managed IT services.

All services are subject to separate engagement letters, statements of work, or service agreements which shall govern the specific terms of each engagement.

2. Use of the Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the site in any way that violates applicable local, national, or international law
• Transmit unsolicited commercial communications (spam)
• Attempt to gain unauthorised access to any part of the website or its servers
• Introduce viruses, trojans, or other malicious software
• Collect or harvest personal data of other users without consent
• Reproduce, duplicate, or resell any part of our service without express written permission

3. Intellectual Property

Intelligence reports, analysis, and deliverables produced for clients remain subject to the confidentiality and IP terms of the respective engagement agreement.

Certain intelligence reports and analyses are provided under non-disclosure agreement (NDA). By requesting or receiving such materials, you agree to maintain their confidentiality and use them solely for internal business purposes as specified in the governing NDA.

The information on this website is provided on an “as is” basis without warranties of any kind, either express or implied. Banante does not warrant that:

• The website will be uninterrupted or error-free
• Any intelligence or market data provided is complete, accurate, or current
• The website is free of viruses or other harmful components

6. Limitation of Liability

To the fullest extent permitted by applicable law, Banante shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the website or services, even if Banante has been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

Our website may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

8. Payment Terms

Payment terms for services are specified in the relevant engagement letter or statement of work. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may be subject to interest at 1.5% per month on outstanding balances.

9. Termination

We reserve the right to terminate or suspend access to our website or services, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the site and services will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ghaziabad, Uttar Pradesh, India.

11. Changes to These Terms
